Terms for Adding Your Premier Members Card to a Digital Wallet

These Terms for Adding Your Premier Members Debit or Credit Card to a Digital Wallet (the “Terms”) apply when you choose to add a Premier Members credit card or debit card (“Premier Members Card”) to a Digital Wallet (”Digital Wallet” or “Wallet”). In these Terms, “you” and “your” refer to the cardholder of the Premier Members Card, and “we,” “us,” “our,” and “Premier” refer to the issuer of your Premier Members Card. When you add a Premier Members Card to a Digital Wallet, you agree to these Terms.

1. Adding Your Premier Card.

You can add an eligible Premier Members Card to a Digital Wallet by following the instructions of the Wallet provider. Only Premier Members Cards that we indicate are eligible can be added to a Digital Wallet. If your Premier Members Card or underlying account is not in good standing, that Premier Members Card will not be eligible to enroll in a Digital Wallet. When you add a Premier Members Card to a Digital Wallet, the Wallet allows you to use the Premier Members Card to enter into transactions where the Wallet is accepted. The Digital Wallet may not be accepted at all places where your Premier Members Card is accepted.

2. Your Premier Card Terms Do Not Change.

The terms of the Member Service Agreement that governs your Premier Members Card do not change when you add your Premier Members Card to a Digital Wallet. In the event of any conflict between these Terms and the terms of the Member Service Agreement, the terms of the Member Service Agreement shall govern. The Digital Wallet simply provides another way for you to make purchases with the Premier Members Card. Any applicable interest, fees, and charges that apply to your Premier Members Card will also apply when you use the Digital Wallet to access your Premier Members Card. Premier Members does not charge you any additional fees for adding your Premier Members Card to a Digital Wallet or using your Premier Members Card in the Wallet. However, please note that the Digital Wallet provider and other third parties such as wireless companies or data service providers may charge you fees.

3. Premier Members Is Not Responsible for the Digital Wallet.

Premier Members is the not the provider of the Digital Wallet, and we are not responsible for providing the Wallet services to you. We are only responsible for supplying information securely to the Digital Wallet provider to allow usage of the Premier Members Card in the Wallet. We are not responsible for any failure of the Digital Wallet, or the inability to use the Wallet for any transaction. We are not responsible for the performance or non-performance of the Digital Wallet provider or any other third parties regarding any agreement you enter into with the Wallet provider or associated third party relationships that may impact your use of the Digital Wallet.

4. Contacting You Electronically, and by Email.

You consent to receive electronic communications and disclosures from us in connection with your Premier Members Card and the Digital Wallet. You agree that we can contact you by email at any email address you provide to us in connection with any Premier account. It may include contact from companies working on our behalf to service your accounts. You agree to promptly update your contact information with us within ten (10) days when it changes.

5. Removing Your Premier Card from the Digital Wallet

You should contact the Wallet provider on how to remove a Premier Members Card from the Digital Wallet. We can also block a Premier Members Card in the Wallet from purchases at any time if you provide us sufficient advance notice prior to the time the transaction is submitted against your account.

6. Right of Refusal / Security Procedures.

Unless we agree otherwise in writing, we reserve the right to refuse or suspend transactions or instructions to or from any Digital Wallet, or block transactions to or from any Digital Wallet provider, without prior notice or liability to you. We are not liable for errors, delays, interruptions or transmission failures caused by the Digital Wallet provider or other third parties or circumstances beyond our control including mechanical, electronic or equipment failure. We may require you to follow one or more security procedures to activate or utilize a Digital Wallet. We will notify you of any such security procedures as promptly as possible, and you agree that our security procedures are commercially reasonable.

7. Hold Harmless / Indemnity.

In consideration of our allowing you to enroll or add your Premier Members Card to a Digital Wallet, you agree to indemnify and hold Premier Members Credit Union harmless from all costs, expenses, damages or claims, including attorney’s fees, related to your use of your card account or the Digital Wallet. This indemnity obligation includes but is not limited to claims of any joint account owner, payee, or third party. Additionally, if you ask us to follow instructions that we believe might expose us to claims, suits, losses, expenses, liabilities, or damages, whether directly or indirectly, we may refuse to follow your instructions or may require such further assurances or other protections that we deem necessary, including but not limited to an Indemnification Agreement containing such terms and conditions as we deem appropriate under the circumstances.

8. Governing Law and Disputes.

You understand and agree that these Terms are governed by federal law and, to the extent that state law applies, the laws of the state of Colorado. Disputes arising out of or relating to these Terms will be subject to any dispute resolution procedures in your Premier Members Credit Union Card agreement, and the exclusive venue for such dispute resolution proceedings shall be the state of Colorado.

9. Ending or Changing these Terms; Assignments.

We can terminate these Terms at any time. We can also change these Terms, or add or delete any items in these Terms, at any time. We will provide notice if required by law. We can also assign our rights under these Terms. You cannot change these terms, but you can terminate these Terms at any time by removing all Premier Members Cards from the Digital Wallet. You may not assign or delegate these Terms under any circumstances.

10. Privacy.

Your privacy and the security of your information are very important to us. Premier Members Credit Union’s Privacy Notice (available online at https://www.pmcu.org/disclosures) applies to your use of your Premier Members Card in the Digital Wallet. You agree that we may share your information with the Wallet provider, a payment network, and others in order to provide the services you have requested, to make information available to you about your Premier Members Card transactions, and to improve our ability to offer these services. We do not control the privacy and security of your information that may be held by the Digital Wallet provider, and that is governed by the privacy policy given to you by the Wallet provider.

11. Notices.

We can provide notices to you concerning these Terms and your use of a Premier Members Card in the Digital Wallet by posting the material on our website, through electronic notice given to any electronic mailbox we maintain for you or to any other email address or telephone number you provide to us, or by contacting you at the current address we have on file for you. 12. Questions.
